Terms of Service

2.1 Food Safety and Quality

• You are solely responsible for the safety, quality, and preparation of all food items listed on the Platform at the time of pickup
• All food items must comply with applicable local health regulations and food safety standards
• You must maintain all required licenses, permits, and certifications for food service operations
• Food items must be clearly labeled with accurate descriptions, ingredients, allergens, and any reheating or storage instructions where applicable
• Orders must be packed to prevent contamination and kept at safe temperatures until the customer collects the order
• Responsibility for food safety remains with you until the order is handed over to the customer or their courier at pickup

2.2 Accurate Listings

• All food descriptions, prices, quantities, availability, and pickup windows must be accurate and current
• You must promptly update listings when items or quantities become unavailable
• Images uploaded must accurately represent the actual food items being offered
• You are responsible for providing clear allergy and dietary information and disclosing any expected variability typical of surplus food offers

2.3 Order Fulfillment

• You must have confirmed orders ready for pickup at the start of the specified pickup window and fulfill them within that window
• You must provide the items and quantities confirmed in the order and label them clearly
• Do not substitute or downgrade items unless the customer agrees via the Platform
• If you are unable to fulfill any part of an order on time, you must notify KhayrEats and the customer immediately through the Platform
• You are responsible for packaging food items appropriately for pickup, including secure containers and clear labels
• Repeated late or incomplete fulfillment may result in account review, suspension, or termination

3.1 Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account

3.2 Prohibited Activities and Partner Conduct

• Listing expired, spoiled, or unsafe food items
• Misrepresenting food items, prices, quantities, or availability
• Engaging in fraudulent or deceptive practices
• Violating any applicable laws or regulations
• Failing to treat customers and couriers respectfully and without discrimination
• Failing to maintain a clean and safe pickup area
• Soliciting off-platform payments or directing customers to transact outside the Platform
• Adding fees or charges not disclosed on the Platform
• Using customer information for any purpose other than fulfilling the order

3.3 Service Availability

• The Platform may be temporarily unavailable due to maintenance, updates, or technical issues
• We reserve the right to modify or discontinue services with reasonable notice

4.1 Commission Structure

• KhayrEats charges a commission on completed transactions as specified in your partner agreement
• Commission rates may be modified with 30 days written notice

4.2 Payment Processing

• Payments will be processed according to the payment schedule outlined in your partner agreement
• You are responsible for providing accurate banking information for payment transfers
• KhayrEats will process monthly payouts for all completed and confirmed orders, deducting applicable service fees before transfer. Restaurants will receive payment for the previous month's transactions by the 15th of the following month, via bank transfer or specified payout method.

4.3 Monthly Platform Fee

Each restaurant will be charged a non-refundable monthly platform fee of OMR 5 for being listed and active on KhayrEats. This fee applies regardless of sales volume and will be automatically deducted from monthly payouts, or charged/invoiced separately if no payout is due for that month. The fee is due as long as the restaurant account is active on the platform.

5.1 No Refunds on Surplus Food

• Surplus food is offered as-is and is not eligible for refunds or returns
• KhayrEats may, at its sole discretion, issue a refund or credit only where there is a documented operational error, such as: the order was not provided at pickup, provided items or quantities materially differed from the order, or the food was unsafe at the time of pickup
• Any refunds or credits issued by KhayrEats may result in corresponding adjustments, offsets, or chargebacks to restaurant payments for the affected order(s)

5.2 Dispute Resolution

• Restaurants must cooperate with KhayrEats in resolving customer complaints
• Repeated complaints may result in account suspension or termination

6.1 Restaurant Liability

• You assume full liability for all food items prepared and sold through the Platform
• You are responsible for any food-related illness, injury, or damage caused by your products
• You must maintain appropriate commercial general liability and product liability insurance

6.2 Platform Limitation of Liability

• KhayrEats acts solely as an intermediary platform connecting restaurants and customers
• KhayrEats does not prepare, handle, or store food and is not responsible for food safety, quality, or compliance at the time of pickup
• To the maximum extent permitted by law, KhayrEats will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data
• To the maximum extent permitted by law, KhayrEats' aggregate liability arising out of or relating to the Platform and these Terms will not exceed the fees paid by you to KhayrEats for the services in the three (3) months preceding the event giving rise to the claim

7.1 Restaurant Content

• You retain ownership of your restaurant name, logo, and food item descriptions
• You grant KhayrEats a license to use your content for platform operations and marketing purposes

7.2 Platform Rights

• KhayrEats retains all rights to the Platform, including software, design, and trademarks
• You may not copy, modify, or distribute any aspect of the Platform without written permission

8.1 Data Collection

• We collect and process restaurant and customer data in accordance with our Privacy Policy
• You consent to the collection and use of data necessary for platform operations

8.2 Customer Information

• Customer personal information shared through the Platform must be kept confidential
• You may only use customer information for order fulfillment purposes

9.1 Term

This agreement remains in effect until terminated by either party

9.2 Termination Rights

• Either party may terminate this agreement with 30 days written notice
• KhayrEats may immediately terminate for violations of these Terms or applicable law
• Upon termination, you must cease all use of the Platform and return any confidential information

9.3 Effect of Termination

• Outstanding payment obligations survive termination
• All license grants terminate immediately upon account closure

11.1 Governing Law

• These Terms are governed by the laws of Oman
• Any disputes shall be resolved in the courts of Oman

11.2 Modifications

• KhayrEats may modify these Terms at any time with 30 days notice
• Continued use of the Platform constitutes acceptance of modified Terms

11.3 Entire Agreement

• These Terms constitute the entire agreement between the parties
• Any modifications must be made in writing and signed by both parties

11.4 Severability

If any provision is found unenforceable, the remainder of these Terms remains in effect
